Terms of Use

Welcome to OpeningHub. These Terms of Use ("Terms") govern your access to and use of the OpeningHub platform (the "Service"), operated by Waypoint Platform Group ("Waypoint", "we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not access or use the Service.
1. Eligibility & Accounts
Access to the Service is typically provisioned by your organization's tenant administrator or by Waypoint. You must be authorized by your organization to use the Service on its behalf. You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. Notify your tenant administrator and Base44 support promptly of any unauthorized use.
2. Acceptable Use
You agree not to, and not to permit others to:
- Use the Service to violate any law, regulation, or third-party right.
- Upload or transmit malicious code, malware, or content that infringes intellectual property rights.
- Attempt to access data, projects, or features outside your assigned role or tenant scope.
- Reverse engineer, decompile, or otherwise attempt to extract source code or underlying infrastructure.
- Interfere with, disrupt, or overload the Service or its infrastructure.
- Share, sell, or transfer your account credentials without authorization.
3. Your Content & Data
You retain ownership of the project data, documents, comments, and other content you and your organization submit to the Service ("Content"). You grant Waypoint a limited license to host, store, process, and display your Content solely as necessary to operate the Service for your tenant. You are responsible for ensuring you have the rights and permissions to submit all Content, including personal data of third parties.
4. Tenant Isolation & Access
The Service enforces tenant-scoped and role-based access controls designed so that one organization's data is not visible to another. Tenant administrators control user roles, assignments, and access within their tenant. Waypoint may restrict or suspend access where required to protect platform integrity or comply with law.
5. Integrations & Third-Party Services
The Service may connect to third-party integrations (such as Smartsheet, Salesforce, or email providers) configured by your tenant. Your use of those integrations is also subject to the third party's terms and privacy practices. Waypoint is not responsible for the conduct or availability of third-party services.
6. Subscriptions, Billing & Fees
Certain features or tenant tiers may require a paid subscription. Billing terms, fees, and renewal/cancellation terms are governed by the agreement between your organization and Waypoint. Unless stated otherwise in that agreement, fees are non-refundable, and any overage charges (such as AI integration credits) apply per the plan.
7. Service Availability
We strive to maintain high availability but do not warrant uninterrupted or error-free operation. We may modify, suspend, or discontinue features, with reasonable notice where feasible. We are not liable for outages caused by factors beyond our control, including third-party infrastructure failures.
8. Intellectual Property
The Service, its software, design, branding, and documentation are owned by Waypoint and its licensors and are protected by intellectual property laws. These Terms grant no right to use Waypoint's trademarks, logos, or brand assets except as expressly permitted in writing.
9. Disclaimers
The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. Waypoint does not warrant that the Service will meet your requirements or be error-free.
10. Limitation of Liability
To the maximum extent permitted by law, Waypoint shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for loss of profits, data, or business interruption, arising out of or related to the Service, whether based on warranty, contract, tort, or any other legal theory. Waypoint's aggregate liability for any claim is limited to the fees your organization paid for the Service in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify and hold harmless Waypoint and its affiliates from any claims, damages, or expenses arising out of your Content, your violation of these Terms, or your infringement of third-party rights.
12. Term & Termination
These Terms are effective while you use the Service. Waypoint or your tenant administrator may suspend or terminate access for violation of these Terms or for operational reasons. Upon termination, your right to use the Service ceases; your organization's data will be handled per your agreement with Waypoint and our data retention practices.
13. Governing Law & Disputes
These Terms are governed by the laws of the jurisdiction specified in your organization's agreement with Waypoint, without regard to conflict-of-laws principles. Any disputes will be resolved in the courts of that jurisdiction, unless an arbitration clause applies under your agreement.
14. Changes to These Terms
We may revise these Terms from time to time. Material changes will be posted on this page and, where appropriate, communicated through in-app or email notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
